Showit, Inc. Referral Program Terms of Service

These Showit Referral Program Terms of Service (“Referral Terms”) are agreed between Showit Inc. and the Showit customer (“Referrer”) who participates in our Showit Referral Program (“Referral Program”).
The Showit Referral Program rewards Referrers who refer new users to Showit as outlined in these Referral Terms. Please review our Rules and Policies for specific program procedures and policies. By participating in the Referral Program you agree to all of these Referral Terms. If you do not agree to these Referral Terms, you are not eligible to participate in the Referral Program.
DEFINITIONS
“Affiliate Credit” means credit that is awarded and can be redeemed as a cash payment by the user.
“Referral Code” means the unique text string generated by Showit that is part of the Referral Link.
“Referral Link” means the unique url link generated by Showit that contains the Referral Code and is used to track new users who sign up as part of the Referral Program.
“Referrer” means each Showit subscriber who participates in the Showit Referral Program.
“Rules and Policies” refers to the documentation section available in our learn docs.
“Subscription Credit” means credit that is awarded to a user’s account which can only be applied to cover subscription fees. Subscription credits in some cases may not apply for tax payments.
“Qualified Subscriber” shall be any subscriber with an active Showit subscription who: (1) arrived on the Showit website via a Referral Link; (2) becomes a Showit subscriber; (3) is in good standing as a Showit subscriber for 62 days; and (4) their second subscription payment is captured without any error or a request for refund.
PROGRAM DETAILS
Eligibility
Referrers with an active yearly or monthly Showit subscription and who agree to these Referral Terms are eligible to participate in the Referral Program; provided that Showit reserves the right to remove any Referrer from the Referral Program at any time in its sole discretion.
Referral Methods
Each Referrer will be provided a unique Referral Link that such Referrer can share. Each Referrer is only reserved one (1) Referral Link.
Rewards
Showit shall award reward credit to Referrer’s account each time a new user is referred to Showit via their Referral link becomes a Qualified Subscriber. (Please note: If the new user fails to use the Referral Link, there will be no retroactively awarded credit to the Referrer’s account.)
The Referrer shall receive Subscription Credit worth the value of one prorated month of their active subscription plan (at time credit is applied), up to a maximum of $39 subscription credit.
If the Referrer’s current balance of subscription credit is equal or greater than 12 months then the Referrer will instead be awarded Affiliate Credit.
Rewards may be revoked if the Referrer requests a refund of their first payment within 90 days of the start of their Showit subscription.

Redeeming Credits
Subscription Credits are only applied to subscription fees, and are not redeemable as cash or toward design purchases, and have no other value. Subscription Credits shall not expire and will automatically be redeemed on the next subscription payment cycle towards the cost of the Referrer’s then-current subscription fees. Subscription Credits may not be redeemed in the form of a refund, rebate, or any other form of consideration.
Affiliate Credit shall be applied to the Referrer’s account and accrue until they redeem credits as a cash reward. Affiliate Credit is only redeemable as cash in US Dollars via PayPal, may not be used for subscription or design purchases, and shall have no true value until it is redeemed by the Referrer. If Affiliate Credit is unredeemed by the Referrer within 1 year of the date of credit, then it will expire and be null and void.

Referrer Responsibilities
Referrer must include a disclosure statement where required by applicable or third-party services where they are posting the Referral Link, including, without limitation, Federal Trade Commission advertising requirements and FTC Endorsement Guidelines requiring prominent disclosures regarding compensation received from Showit. Without limiting the foregoing, each Referral Link shall at a minimum include the following text: This post contains affiliate links with Showit, which means that we may receive compensation if you make a purchase using these links. Showit may periodically audit the Referrer’s website to determine whether it is in compliance with Showit’s then-current Referral Program guidelines and requirements, including, without limitation, review of Referrer’s Referral Link and quality controls.
Referrer agrees not to make any representations, warranties, or other statements concerning Showit, any of Showit’s products or services, or Showit’s terms and conditions and site policies.
Referrer agrees to maintain a privacy policy governing user communications and use of Referrer’s website(s) where each Referral Link is located in accordance with applicable law. Referrer shall use industry-standard security practices to collect, process, transmit, and maintain any such user’s personal data. Referrer agrees to notify Showit in writing within twenty-four (24) hours of any known or reasonably suspected security incident(s) involving Referrer’s privacy policy and/or systems that impact or may impact Referrer’s Referral Link and/or such user’s personal data.
Referrer may not in any manner misrepresent or embellish the relationship between the parties, or express or imply any relationship or affiliation between Showit and Referrer or any other person or entity except as expressly permitted by these Referral Terms (including by expressing or implying that Showit supports, sponsors, and/or endorses Referrer). Showit shall have the authority to control all discussions, terms, and negotiations regarding any proposed or actual sale of its products and services to any potential Qualified Subscriber, and Referrer has no authority to bind Showit or any agreements or representations on Showit’s behalf. Nothing in these Referral Terms shall obligate Showit to actually offer or sell any Showit products or services, or consummate any transaction with any potential Qualified Subscriber.
In no event shall Showit be liable to Referrer for any indirect, incidental, delay, special, punitive, or consequential damages, including damages for lost opportunities, lost profits from these Referral Terms or any other transaction, or lost savings, whether arising in contract, tort or otherwise, even if such damages were foreseeable or result from a breach of these Referral Terms. In addition, in no instance shall Showit be liable to Referral for an amount that exceeds the total credits provided by Showit to Referral during the one (1) month prior to the event given rise to such liability.
Non-Qualifying Subscriber
Referrer acknowledges that no credits will be earned for any subscriber that cannot be attributed to the referrer through the use of the Referral Link or who otherwise does not qualify as a Qualified Subscriber.
Restrictions
Referrer must review and agree to the Referral Program Rules & Policies for all current restrictions including any prohibited behavior that apply to the Referral Program. Showit reserves the right to modify the Rules & Policies at any time, and by continuing to participate in the Referral Program, Referrer expressly agrees to such updated Rules & Policies.
Ownership and Licenses
Each party owns and shall retain all right, title and interest in its names, logos, trademarks, service marks, trade dress, copyrights and proprietary technology, including, without limitation, those names, logos, trademarks, service marks, trade dress, copyrights and proprietary technology currently used, or which may be developed and/or used by it in the future. Neither party shall have the right to reproduce, display, or otherwise use any content, logo, trade name, trademark, or service mark of the other party except as expressly set forth herein, without the prior written consent of the other party in each instance.
During the term of these Referral Terms, Showit grants Referrer a limited, non-exclusive, non-transferrable, non-sublicensable, limited license to use, reproduce, display and transmit Showit’s specified logos, trade names, trademarks and service marks (the “Showit Marks”) on webpage(s) containing the Referral Link for the sole purpose of creating, marketing, and describing the Referral Link. Referrer grants Showit a non-exclusive, worldwide, royalty-free license to use, reproduce and transmit Referrer’s name, logo, marks, and/or any graphic or banner ad submitted by Referrer in connection with these Referral Terms. At the expiration or earlier termination of these Referral Terms: (i) neither party will retain any rights to nor license of any of the other party’s marks; and (ii) each party agrees to purge from its site all content, logos, trade names, trademarks or service marks of the other party, including, without limitation, the Referral Link.
Each party represents to the other that (a) it has the authority to enter into these Referral Terms and sufficient rights to grant any licenses granted hereby, and (b) any material which is provided to the other party and displayed on the other party’s site will not (i) infringe on any third party’s copyright, patent, trademark, trade secret, or other proprietary rights or right of publicity or privacy; (ii) violate any applicable law, statute, ordinance or regulation; (iii) be defamatory or libelous; (iv) be lewd, pornographic or obscene; (v) violate any laws regarding unfair competition, anti-discrimination or false advertising; (vi) promote violence or contain hate speech; or (vii) contain viruses, Trojan horses, worms, time bombs, cancelbots or other similar harmful or deleterious programming routines.
Rights Reserved
Showit retains the unconditional right, which it may utilize at its discretion and without any obligation to Referrer, to cancel, decrease, or reverse credits, adjust payment terms, disable Referral Links, suspend your participation and/or cancel the entire Referral Program at any time, without or without notice to Referrer.
Miscellaneous
These Referral Terms constitutes the sole and entire agreement of the parties with respect to the subject matter contained herein, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. If any term or provision of these Referral Terms is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Referral Terms or invalidate or render unenforceable such term or provision in any other jurisdiction. The parties are independent contractors, and this nothing in these Referral Terms shall not be construed to create any association, partnership, joint venture, employee, or agency relationship between Showit and Referrer for any purpose. All notices, requests, consents, claims, demands, waivers, summons and other legal process, and other similar types of communications hereunder must be in writing and addressed to the then-current contact point of the other party. These Referral Terms and all matters arising out of or relating to these Referral Terms are governed by, and construed in accordance with, the laws of the State of Arizona, and any disputes shall be subject to the exclusive venue of State and Federal courts located in Maricopa County, Arizona. These Referral Terms, and each of the terms and provisions hereof, may only be amended, modified, waived, or supplemented by an agreement in writing signed by each Party. Neither party shall assign, transfer, delegate, or subcontract any of its rights or obligations under these Referral Terms without the prior written consent of the other party, except to an affiliate or in connection with a merger, sale, or similar change in control event. Any purported assignment or delegation in violation of these Referral Terms shall be null and void. These Referral Terms will inure to the benefit of and be binding upon each of the parties and each of their respective permitted successors and permitted assigns. The parties do not confer any rights or remedies upon any person other than the parties and their respective successors and permitted assigns.
